Since its enactment, the Sarbanes-Oxley Act has been both heralded and maligned. We hear that the most fundamental flaw behind SOX is the cost of compliance. From the SEC’s own estimates, publicly traded firms spend on average over $2 million annually to comply with Sarbanes-Oxley. Estimates from economists at the University of Rochester conclude that Sarbanes-Oxley reduced shareholder wealth by about $1.4 trillion. This was supposed to be about helping investors, they say.
But, there is an important question: Where do companies spend so much money? Who takes the money, and for what reason?
Companies spend millions to improve their risk management systems and controls, to enhance financial disclosures and documentation, and to educate process owners to identify, measure, manage, control and report risks. We have many thousands of new jobs in compliance, risk management and risk management training and consulting.
Sarbanes-Oxley requires public companies to assess how effective their internal controls over financial reporting are at preventing misstatements, that could be material to the financial statements.
SOX Section 404(a) requires management to report on the effectiveness of the company’s internal controls over financial reporting, and Section 404(b) requires the auditor’s attestation regarding their effectiveness.
Sarbanes Oxley Act has become more important after the Dodd Frank Act. After the recent market crisis, it’s no surprise that companies are racing to persuade investors that they have improved their risk management processes, systems and controls. Now, in the new era of re-regulation, SOX knowledge and experience is more valuable. Sarbanes-Oxley professionals and experts know how to manage risks, and they are more important for the board of directors, the shareholders and the supervisors.
Become a Sarbanes Oxley Compliance Professionals Association Authorized Certified Trainer, Certified Sarbanes Oxley Expert Trainer (SOXCPA-ACT / CSOET). This is an advantage on your resume, serving as a third-party endorsement to your knowledge.
Certificates are important when being considered for a promotion or other career opportunities. You give the necessary assurance that you have the knowledge and skills to accept more responsibility.
Become a Sarbanes Oxley Compliance Professionals Association Authorized Certified Trainer
In order to become a SOXCPA-ACT / CSOET you need to:
1. Have the Required Experience.
You must have a minimum of three (3) years cumulative paid full-time work experience in risk management, compliance, audit or a related domain.
You may receive a one year experience waiver with a four-year college degree, or regional equivalent, thus requiring two (2) years of direct full-time professional work experience in risk management, compliance, audit or a related domain.
2. Become a Lifetime Member of the Association and pass the CSOE Exam.
3. Subscribe to the Code of Ethics for Authorized Certified Trainers as described below.
The Code of Ethics for Sarbanes Oxley Compliance Professionals Association Authorized Certified Trainers sets forth the principles that underlie their conduct. It consists of a Preamble and 6 Canons.
Code of Ethics for SOXCPA Authorized Certified Trainers
The Sarbanes Oxley Compliance Professionals Association Authorized Certified Trainers recognize that such certification is a privilege that must be both earned and maintained.
The Sarbanes Oxley Compliance Professionals Association Authorized Certified Trainers, who intentionally or knowingly violate any provision of this Code of Ethics, may be subject to action by the Association, which may result in the revocation of their certified status.
Strict adherence to this Code of Ethics is a condition of certification.
A. Advance and protect the profession of risk management and compliance management.
B. Provide diligent and competent services to your employer, your colleagues and to all other risk and compliance management professionals.
C. Act honorably and stand firm for what is honorable.
D. Strive to maintain the highest levels of competence in your work.
E. Recognize the limitations of your expertise and undertake only those tasks for which you are qualified by education, training, or experience.
F. Recognize the need for ongoing training in order to remain professionally competent.

You must also write that you subscribe to the Code of Ethics for SOXCPA Authorized Certified Trainers.
We reserve the right to reject applications that are incomplete. Applicants that do not have the necessary knowledge or experience will not be accepted as SOXCPA Authorized Certified Trainers, and they will receive their money back, if they have purchased the CSOE program or lifetime membership in order to become SOXCPA Authorized Certified Trainers. We reserve the right to ask for more information or evidence about degrees, certificates etc.
We reserve the right to reject any applications that contain language or material that we consider offensive, discriminatory or otherwise inappropriate.

Three to five days after we receive your email, we will contact you.
If you meet the above requirements (you are a CSOE, you are a lifetime member, you have sent your CV and we have decided that you have what it takes to become a good trainer, you have subscribed to the Code of Ethics for SOXCPA Authorized Certified Trainers), we will send you an email informing you that you have been accepted as a Sarbanes Oxley Compliance Professionals Association Authorized Certified Trainer, Certified Sarbanes Oxley Expert Trainer (SOXCPA-ACT / CSOET).
You will receive your SOXCPA-ACT / CSOET printed and stamped certificate at your office or home address after 4 – 6 weeks. We will update your dedicated webpages after 4-6 weeks too.
5. Maintain the CSOET Certificate
Recertification is required every two years. CSOETs must sit for the CSOE exam again, to provide evidence that they stay current. The all-inclusive cost is $97 every two years (this is the discounted price for lifetime members).
You will receive your new SOXCPA-ACT / CSOET printed and stamped certificate at your office or home address after about 3 months.

2. You are authorized to train managers and employees inside your organization, using the official CSOE presentations, provided that at least 6 delegates sit for the CSOE exam after each training class.
The all-inclusive cost for each of the delegates that will sit for the exam is $147.
Terms and Conditions
2A. The Sarbanes Oxley Compliance Professionals Association Authorized Certified Trainer, Certified Sarbanes Oxley Expert Trainer (SOXCPA-ACT / CSOET) (“Trainer”) can organize and promote Certified Sarbanes Oxley Expert (CSOE) instructor-led classes inside his/her organization (in-house instructor-led training), including branches and subsidiaries. The Trainer can lead these classes, using the official CSOE presentations.
2B. The SOXCPA will not receive any compensation for the instructor-led classes, provided that at least 6 delegates will sit for the CSOE exam after each training class. The all-inclusive fee for the CSOE exam is $147 per delegate.
Up to 3 exams per delegate are included in the price. If someone fails, he/she must study more and sit for the exam again, at no extra cost, up to 3 times.
2C. The SOXCPA, as the copyright owner, gives permission to the Trainer to do the following:
a. To reproduce the copyrighted work in copies and distribute inside his/her organization.
b. To prepare derivative works based upon the copyrighted work and distribute inside his/her organization.
2D. The Trainer is not a representative or employee of the SOXCPA and shall have no claim against the SOXCPA hereunder or otherwise for vacation pay, sick leave, retirement benefits, social security, worker’s compensation, health or disability benefits, unemployment insurance benefits, or employee benefits of any kind, or any other reason. The SOXCPA is not accountable under any circumstances for any legal issues caused by the Trainer.
2E. The Trainer is expressly free to perform services for other parties or associations, while performing services in accordance with this agreement.
3. You may be invited to lead classes outside your organization.
The SOXCPA organizes instructor-led classes in large cities or financial centers around the world (3 days), and Exam Prep classes (1 day). Although the SOXCPA-ACT / CSOETs are not paid as employees or contractors to lead these classes, they do receive $2,000 per day to cover their expenses.
Experienced Trainers that already work in major firms or organizations may receive more invitations. This is not an opportunity for employment. The SOXCPA has no obligation to invite all SOXCPA Authorized Certified Trainers to lead instructor-led classes. Only some Trainers (that can use their life experiences and knowledge to talk with others and motivate them to take action) may be invited.
4. You may be invited to speak in meetings, events or conferences.
5. The association develops two web pages dedicated to lifetime members (example: www.sarbanes-oxley-association.com/Your_Name.htm).
We will add to both pages that you are a Sarbanes Oxley Compliance Professionals Association Authorized Certified Trainer, Certified Sarbanes Oxley Expert Trainer (SOXCPA-ACT / CSOET).
